Terms of Use

The agreement between you and Darsly for using the website, the learning platform, the mobile applications, the courses and related services.

At a glance

  • By creating an account or purchasing a course you enter into a binding agreement with Darsly on these terms.
  • Course content is licensed for your personal, non-commercial use for the access period of your plan; copying, recording or sharing it is prohibited.
  • Payments are one-time and processed by Click or Payme; refunds are available only under the conditions in section 7.
  • Darsly may suspend or close accounts that breach these terms, and its liability is limited to the extent permitted by law.

01Acceptance of the terms

These Terms of Use (the “Terms”) are a public offer of Darsly, the operator of the website darsly.uz, the Darsly learning platform, the Darsly mobile applications and the related services (the “Services”). By visiting the website, creating an account, purchasing a course or otherwise using the Services, you (the “User”, “you”) confirm that you have read, understood and accepted these Terms in full and unconditionally, together with the Privacy Policy, the Cookie Policy and the Platform Rules, which form an integral part of these Terms.

If you do not agree with any provision of these Terms, please do not use the Services. If you use the Services on behalf of an organisation, you confirm that you are authorised to bind that organisation.

02Definitions

  • “Course” — a structured set of video lessons, materials, exercises, tests, games and other content offered on the platform, including any live or offline sessions announced as part of it.
  • “Plan” — a pricing option for a Course (for example “Mustaqil”, “Intizomli” or “Intizomli Pro”) that defines the content, mentor support and services included.
  • “Access Period” — the period during which purchased Course content is available to the User, as stated on the Course page at the time of purchase (by default 12 months from the date of payment).
  • “Content” — all materials available through the Services: videos, texts, audio, images, tests, assignments, games, software, design and trademarks.
  • “Account” — the User’s personal profile on the platform, protected by login credentials.

03Eligibility and minors

The Services may be used by persons who have reached the age of 18 and have full legal capacity. A person under 18 may use the Services only with the consent of a parent or legal guardian, who accepts these Terms on the minor’s behalf, makes any payments and is responsible for the minor’s compliance with these Terms. Darsly may request proof of such consent and may restrict an Account until it is provided.

04Account, registration and security

  • Registration requires a valid phone number or e-mail address, which we verify with a one-time code, or a Google or Apple account. You must provide accurate and current information and keep it up to date.
  • Each person may hold one Account. Accounts are personal and may not be shared, sold, transferred or used by more than one person. Access from an unusual number of devices or locations may be treated as sharing.
  • You are responsible for everything that happens under your Account and for keeping your password, PIN code and one-time codes confidential. Notify us immediately at info@darsly.uz if you suspect unauthorised access.
  • Darsly may require additional verification, refuse registration or close an Account created with false information, in breach of these Terms or in place of an Account that was previously closed.

05Courses, plans and access period

The content, duration, mentor support, number of lessons and additional services (such as offline trainings, speaking clubs or individual feedback) included in a Plan are described on the Course page at the time of purchase. Purchase of a Plan grants a personal, limited, non-exclusive and non-transferable right to access the Course for the Access Period. After the Access Period ends, access may be closed automatically; extension is available on the terms published on the platform.

  • Darsly may update, supplement, re-record or replace lessons and materials to improve the Course, provided the overall scope of the Course is preserved.
  • Offline events, speaking clubs and live sessions are held at the times and places announced by Darsly, subject to a minimum number of participants and availability of venues; Darsly may reschedule them and will inform participants in advance.
  • Mentor responses are provided during Darsly’s working hours and within the time frames published for the relevant Plan; mentor support is a service accompanying the Course, not a guarantee of any specific result.
  • Learning outcomes depend on your own effort. Darsly does not guarantee that you will reach a particular language level, pass an external examination or obtain any specific result.

06Prices and payments

  • Prices are shown in Uzbek soums (UZS) on the Course page and include applicable taxes unless stated otherwise. The price valid at the moment you confirm your order applies; later price changes do not affect completed purchases.
  • Payment is made as a single payment for the selected Plan through the payment systems Click or Payme. Darsly does not receive or store bank card details; card data is processed by the payment provider on its own pages under its own terms.
  • Access to the Course is opened after the payment provider confirms the payment. If a payment is not confirmed within the period set by the provider, the order is cancelled automatically.
  • Discounts, coupons and cashback offers are valid only during the periods and on the conditions announced by Darsly and may not be combined unless expressly stated. Darsly may cancel a discount obtained by fraud or in breach of its conditions.
  • If you were enrolled by an organisation, the price and payment terms are governed by the agreement between Darsly and that organisation.

07Cancellations and refunds

Darsly wants every learner to benefit from its Courses. If a Course does not suit you, you may request a refund of the payment on the following conditions, which together constitute Darsly’s money-back guarantee:

  1. 1the request is sent to info@darsly.uz from the e-mail or phone linked to your Account within 14 calendar days from the date of payment;
  2. 2you have completed less than 20% of the lessons of the Course (measured by the platform’s progress records) and have not attended an offline event or individual session included in the Plan;
  3. 3no certificate has been issued for the Course and the Account has not been used in breach of these Terms or the Platform Rules.

A refund is made to the payment method used for the purchase within 10 business days after approval, less the fees charged by the payment provider. Where a Plan included services that have already been provided (for example an offline training or mentor sessions), their cost is deducted from the refund. Refunds are not available for the part of the Access Period that has already elapsed after the 14-day period, for purchases made with special promotional conditions that expressly exclude refunds, or for Accounts closed for breach of these Terms. Nothing in this section limits the rights that consumers have under the mandatory provisions of the legislation of the Republic of Uzbekistan.

08Intellectual property and licence to content

All Content, the platform software, its design, databases, trademarks and logos belong to Darsly or its licensors and are protected by the legislation of the Republic of Uzbekistan on copyright and related rights and by international treaties. Purchase of a Course does not transfer any intellectual-property rights to you.

  • You may view and use the Content only personally, for your own learning, within the Services and during the Access Period.
  • You may not download (except where a download button is provided), record, screen-capture, copy, translate, modify, publish, distribute, broadcast, sell, rent, lend or otherwise make the Content available to third parties, in whole or in part, for free or for a fee.
  • You may not circumvent technical protection measures, extract data from the platform by automated means, reverse-engineer the software or use the Services to build a competing product.
  • Darsly may embed visible or invisible identifiers in the Content to trace unauthorised distribution.

Any breach of this section entitles Darsly to close the Account immediately without refund and to claim compensation for the damage caused, including lost profit, in addition to the remedies provided by law.

09Acceptable use

You agree to use the Services lawfully, in good faith and in accordance with the Platform Rules, which set out in detail the standards of behaviour in chats, discussion threads and events, the rules of academic integrity and the prohibited content and actions. Darsly may remove content and restrict features at its discretion to protect users and the Services.

10Your content

You retain the rights to the texts, audio, images and other materials you submit to the Services (“User Content”). By submitting User Content you grant Darsly a free, non-exclusive, worldwide licence for the term of protection of the rights to store, reproduce, display and process it for the purposes of providing the Services, moderation, checking assignments (including by automated means), improving the Services and, in anonymised form, developing teaching materials. You confirm that you hold the rights to your User Content and that it does not violate the rights of third parties or the law.

Darsly is not obliged to store User Content after the Account is deleted and may remove content that breaches these Terms or the Platform Rules without prior notice.

11Certificates and results

A certificate of completion is issued in electronic form when you meet the completion criteria published for the Course (for example, completing the required lessons and assignments and scoring at least the passing mark in the final examination) within the Access Period. The certificate is issued in the name stated in your Account and confirms completion of a Darsly Course; it is not a state-recognised document of education. Darsly may refuse to issue or may revoke a certificate obtained in breach of the academic-integrity rules.

12AI-assisted features

Certain features (automatic checking, an AI tutor, generated exercises, recommendations and speech synthesis) are provided with the help of artificial-intelligence technologies. Such features are auxiliary learning tools, may produce inaccurate or incomplete results and do not replace a mentor. You use their output at your own discretion, and Darsly is not liable for decisions you take on the basis of it.

13Availability, changes and support

  • Darsly aims to keep the Services available around the clock but does not guarantee uninterrupted or error-free operation. Access may be suspended for maintenance, updates, security incidents or reasons outside our control (including failures of telecommunication networks, hosting or payment providers).
  • Darsly may change, add or discontinue features of the Services and may change the requirements for devices and software. Where a purchased Course is withdrawn before the end of the Access Period, Darsly will offer an equivalent Course or a proportional refund.
  • Support is provided through the contacts published on the website and in the app during Darsly’s working hours.

14Disclaimers and limitation of liability

The Services and the Content are provided “as is” and “as available”. To the maximum extent permitted by the legislation of the Republic of Uzbekistan:

  • Darsly does not warrant that the Services will meet your expectations, that learning will lead to a particular result, or that the Content is free of inaccuracies;
  • Darsly is not liable for indirect losses, lost profit, loss of data or reputational harm, or for damage caused by third parties, malware, your equipment or your breach of these Terms;
  • Darsly’s total liability to you for any claims arising from the Services in any 12-month period is limited to the amount you paid to Darsly for the Services during that period;
  • Darsly is not responsible for the content of third-party websites and services linked from the Services (including payment providers, video-hosting and messaging services) or for their availability.

You agree to indemnify Darsly against claims of third parties and related costs arising from your breach of these Terms, the Platform Rules or the law, including unauthorised distribution of Content.

15Suspension and termination

  • You may stop using the Services at any time and may request deletion of your Account through the app settings or by e-mail. Deletion of the Account ends the Access Period of all Courses without refund, except as provided in section 7.
  • Darsly may restrict, suspend or close an Account, with or without notice, if you breach these Terms or the Platform Rules, if there are reasonable grounds to suspect fraud, content piracy, account sharing or a security threat, or if required by law. In such cases payments are not refunded.
  • Provisions of these Terms that by their nature should survive termination (intellectual property, limitation of liability, indemnity, governing law) remain in force after the Account is closed.

16Changes to these terms

Darsly may amend these Terms. The current version is published on this page with the date of the last revision. We will announce material changes on the platform or by e-mail at least 7 days before they take effect. Changes do not apply retroactively to Courses already paid for, except where they are more favourable to you or required by law. Continued use of the Services after the changes take effect constitutes acceptance of the amended Terms.

17Governing law and disputes

These Terms are governed by the legislation of the Republic of Uzbekistan. The parties will first try to resolve any dispute through negotiation: a written claim must be sent to info@darsly.uz (or, by Darsly, to your registered contact details) and will be answered within 15 business days. If the dispute is not resolved within 30 days from receipt of the claim, it is referred to the competent court at the location of Darsly in Tashkent, unless mandatory law provides otherwise for consumers.

If any provision of these Terms is found invalid, the remaining provisions remain in force. Darsly’s failure to enforce a provision does not mean a waiver of it. These Terms are available in Uzbek, Russian and English; in case of discrepancies the Uzbek version prevails.
